Terms and conditions
- General
- The Postcode Lottery Green Challenge 2012 has been initiated by Nationale Postcode Loterij N.V. ("the Dutch Postcode Lottery") to encourage the development of new, innovative, creative and yet commercially viable products and/or services that contribute to an eco-friendly lifestyle, directly reduce greenhouse gas emissions and score highly on convenience, quality and design. An expert preliminary jury will assess the viability of the entries and announce the five to eight finalists on 30 August 2012. The finalists will present their ideas before an international jury of experts and an audience of invited guests on 17 September at the multimedia conference PICNIC ’12 in Amsterdam, The Netherlands. The winner(s) will be announced on 23 September 2012 in New York, USA.
- Participation
- The Postcode Lottery Green Challenge is open to any individual from any country from the age of 18 years and to companies, businesses, institutions and all other organisations.
- The Postcode Lottery Green Challenge is not open to:
- employees of the Dutch Postcode Lottery
- anyone who has been involved in or will this year be involved in judging the Postcode Lottery Green Challenge;
- immediate family members and/or household members of the individuals mentioned under (a) and (b) of this article.
- To enter the Postcode Lottery Green Challenge, each participant must submit, via the website www.greenchallenge.info, a business plan for a product or service as described under article 1.1 and all other documents and information as specified at this website ("Entry").
- The closing date and time for receipt of entries is 31 July 2012. Entries received after the closing date shall not be considered.
- All Entries must be in English. Entries in any other language shall not be considered.
- Damaged, incomplete, illegible and/or unintelligible Entries shall not be considered.
- The Dutch Postcode Lottery reserves the right to exclude anyone and any Entry from the Postcode Lottery Green Challenge at any time, for any reason and without prior notice.
- Entering the Postcode Lottery Green Challenge is free of cost, but each participant bears any costs of researching, preparing and submitting his/her Entry.
- Submitted Entries, including any material related there to, such as sample products, designs and drawings, shall become the sole property of Dutch Postcode Lottery and shall not be returned.
3. (Intellectual Property) Rights and Indemnity
- Each participant warrants that:
- all information provided with his/her Entry as described in article 1.1 is true, complete and accurate;
- his/her Entry is his/her own original creation and that he/she is the sole author and proprietor of the Entry;
- his/her Entry does not infringe any third party (intellectual property) right;
- he/she has not sold, assigned or otherwise transferred and/or granted any rights in the Entry to any third party prior to entering the Postcode Lottery Green Challenge;
- Each participant shall indemnify and hold the Dutch Postcode Lottery harmless against any loss, cost, damage, injury or expense that the Dutch Postcode Lottery may incur as a result of any breach by the participant of article 3.1.
- Each participant shall have the sole responsibility for securing any potential intellectual property rights related to his/her Entry, such as by applying for a patent or a design. The Dutch Postcode Lottery shall not be liable for any costs incurred or loss, damage, injury, expense or liability suffered by participants in relation to any failure to successfully secure any intellectual property rights related to the Entries as a result of participation in the Postcode Lottery Green Challenge.
4. (Intellectual Property) Rights and Publicity
- Participants grant the Dutch Postcode Lottery the irrevocable, perpetual, worldwide right to publish and use in connection with the Postcode Lottery Green Challenge, the (content of) the Entries and their personal data, such as their name, country of origin, photographs in any and all media, including but not limited to the Internet and publicity material, without limitation and without compensation to the participants. The Dutch Postcode Lottery shall not sell, rent, loan, trade or lease the personal data to any third party. As far as it concerns the processing of personal data of the participants, the Dutch Postcode Lottery is data controller in the sense of the Dutch Data Protection Act, and DOEN Foundation, which will pay the prize money as described in article 7.1, is data processor.
- Participants agree to fully cooperate with and participate in all publicity and promotional activities and/or press conferences regarding their participation in the Postcode Lottery Green Challenge and/or their Entries.
- Participants agree not to engage in any conduct that is detrimental to the name and/or reputation of the Dutch Postcode Lottery, the PICNIC Conference, the Postcode Lottery Green Challenge and/or other participants, including but not limited to bringing such name or reputation into any disrepute or ridicule.
- Participants agree not to make any public announcements or take part in any media coverage regarding their participation in the Postcode Lottery Green Challenge and/or their Entries without the prior written consent of the Dutch Postcode Lottery.
5. No Liability
- The Dutch Postcode Lottery shall not be liable for any late, lost, delayed, misdirected, damaged, incomplete or illegible Entries.
- The Dutch Postcode Lottery shall not be liable for any damage resulting from the participation in the Postcode Lottery Green Challenge, including but not limited to death, personal injury or other loss or damage resulting from experiments or other preparation or fulfilment of their Entries.
6. Judging Procedure
- All Entries shall be evaluated based on the following criteria:
- potential to reduce greenhouse-gas emissions, specified as a roughly estimated yearly reduction amount;
- executability;
- realisability as a usable product or service within the next two years;
- any other criteria the Preliminary Jury and/or the Jury, both to be appointed by the Dutch Postcode Lottery, in their sole discretion deem relevant.
- Participants may be required to provide further information to assist the Preliminary Jury and/or the Jury in assessing their Entries. Each participant agrees to fully cooperate with the Preliminary Jury and/or the Jury, which includes but is not limited to being available within the period from 23 August 2012 through 30 August 2012 to provide such information.
- Judging is a two-stage procedure. At the first stage, the Preliminary Jury at its sole discretion shall select five to eight finalists ("Finalists"). Finalists shall be notified by phone by 11:59pm on 30 August 2012 and shall be required to come to Amsterdam from 14 September through 18 September 2012 to present their Entries before an audience. Finalists who fail to present their Entries in Amsterdam forfeit their place and the Preliminary Jury shall be entitled to offer the forfeited place to any other participant. Finalists should be available for travel from 13 September until 24 September 2012.
- The Dutch Postcode Lottery shall reimburse reasonable travel and lodging expenses incurred by one person per Finalist, only if approved in advance, in writing, by the Dutch Postcode Lottery.
- At the second stage, the Jury at its sole discretion shall select one or more Winners. The Winner(s) will be announced at an award celebration.
- All decisions made by the Jury and/or the Preliminary Jury are final.
7. The Prize Money
- The Prize money will be awarded by the Jury to the winner and consists of a maximum amount of €700,000. Instead of awarding the Prize money completely to one winner, the Jury is also allowed to divide the total amount of the Prize money between several winners in any possible way. The Prize money will be paid by DOEN Foundation.
- The Dutch Postcode Lottery may cancel, withhold and/or postpone awarding the Prize Money, if, in the opinion of the Jury, the standard of the Entries so warrants. The Prize Money cannot be transferred or substituted, except by the Dutch Postcode Lottery, which shall be entitled to substitute the Prize Money at any time for any reason, without prior notice and without any liability whatsoever.
- The Prize Money will be used solely for the implementation and/or exploitation of the winning Entry or Entries and the marketing thereof.
- The Winner(s) agree to implement and/or exploit the winning Entry themselves. To be entitled to assistance from leading entrepreneurs and/or companies with respect to such implementation and/or exploitation, the Winner(s) must enter into an agreement with the Dutch Postcode Lottery stipulating the terms and conditions regarding such assistance.
- The Prize Money shall not be transferred to any bank account in the name of an individual. If the Prize Money is awarded to (an) individual(s), he/she/they, in a form to be agreed with by the Dutch Postcode Lottery in advance and in writing, will be required to establish a legal entity and open a bank account in the name of said entity, to which bank account the Prize Money will be transferred. The Dutch Postcode Lottery is furthermore entitled to impose upon the Winner(s) other obligations which will need to be fully met before the Dutch Postcode Lottery will transfer the Prize Money in whole or in part.
- The Dutch Postcode Lottery may at its sole discretion refuse to award the Prize Money to any participant who fails to comply wholly or in part with any of the Terms and Conditions.
- If it comes to the attention of the Dutch Postcode Lottery that a prize winning participant has in any way failed to comply with (part of) the aforementioned terms and conditions, the Dutch Postcode Lottery reserves the right, for a period of one year from the initial pay date, to recover from the participant part or all of the paid out Prize Money, as it deems fit.
8. Duration
- The Postcode Lottery Green Challenge ends on the date on which the Winner(s) is/are announced or any other date if the Postcode Lottery Green Challenge is cancelled or abandoned as stipulated in article 8.2.
- The Dutch Postcode Lottery shall be entitled to cancel and/or abandon the Postcode Lottery Green Challenge at any time, for any reason, without prior notice and without any liability whatsoever.
9. Miscellaneous
- Each participant shall have the sole responsibility for any taxes, duties, charges or levies to be paid to any third party in connection with any money (including the Prize) he/she pays or receives in connection with the Postcode Lottery Green Challenge. Each participant shall indemnify and hold the Dutch Postcode Lottery harmless against any loss, cost, damage, injury or expense which the Dutch Postcode Lottery may incur as a result of any breach of such responsibility. The Dutch Postcode Lottery shall not be liable for any costs incurred or loss, damage, injury, expense or liability suffered by participants in relation to such taxes, duties, charges or levies to be paid.
- The Dutch Postcode Lottery shall be entitled to modify each of the Terms and Conditions and/or to impose new rules and regulations in respect of the Postcode Lottery Green Challenge at any time for any reason, without prior notice and without any liability whatsoever. The modified and/or newly imposed Terms and Conditions will be effective immediately upon being posted on the website http://www.greenchallenge.info.
- Nothing contained in the Terms and Conditions shall be construed as creating any employment, agency, partnership, or joint venture relationship between the Dutch Postcode Lottery on the one hand and the Winner(s), Finalists or any other participant on the other hand.
- The invalidity of any of the Terms and Conditions shall not affect the enforceability and/or validity of any other Term(s) and Condition(s).
10. Governing Law & Jurisdiction
- The Postcode Lottery Green Challenge and the Terms and Conditions shall be governed by the laws of the Netherlands.
- Any and all disputes that may follow from or are related to the Postcode Lottery Green Challenge and/or the Terms and Conditions shall be referred to the competent court in Amsterdam, the Netherlands.
